is it as complicated as it sounds?

You mean copying the files and running the upgrade script? What's complicated about that?

all i do is overwrite everything and run the upgrade script?

You can overwrite everything (all the php files and associated graphics etc.) We usually recommend that you back everything you have up to somewhere safe and then install the distribution into a "fresh" directory structure. That way old abandoned files and directories will not be lurking there forever. And run the upgrade script, yes. That's the short answer but there is a HowToInstall manual in the distribution that you really should take an hour or two to look thru. You can focus on the upgrade section. The RN team spent a lot of time on the documentation and the answers there are a lot more comprehensive than you'll get from an ad hoc post such as this.

The reason it sounds complicated is that we have to account for so many different scenarios that folks will have. If you have not customized anything, then yes, it is easy as that. Just pay close attention, as the manual states, to config.php and rnconfig.php as you do not want to just overwrite your original settings.
